Why?<\/p>\n\n\n\n<p>Because there are several exceptions and if a small business qualifies for the <strong>small business audit exemption<\/strong> and want to take advantage of it.<\/p>\n\n\n\n<p>Several dormant companies, micro and small businesses, do not have to have their accounts audited.<\/p>\n\n\n\n<p>However, the following companies are by law required to have an audit.<\/p>\n\n\n\n<p>\u25cf  public company&nbsp;<br>\u25cf  a <mark style=\"background-color:rgba(0, 0, 0, 0)\" class=\"has-inline-color has-black-color\">subsidiary company<\/mark> (unless it exempt)<br>\u25cf  an insurance company or a company carrying out insurance market activity<br>\u25cf  banking company<br>\u25cf  electronic money (e-money) issuer<br>\u25cf  MiFID (Markets in Financial Instruments Directive) <mark style=\"background-color:rgba(0, 0, 0, 0)\" class=\"has-inline-color has-black-color\">investment<\/mark> firm<br>\u25cf  UCITS <a href=\"https:\/\/www.experlu.co.uk\/blog\/what-is-a-flat-management-company\/\" data-wpil-monitor-id=\"48\">management company<\/a><br>\u25cf  its shares traded on a regulated market<br>\u25cf  funder of a master trust <mark style=\"background-color:rgba(0, 0, 0, 0)\" class=\"has-inline-color has-black-color\">pensions<\/mark> scheme<br>\u25cf  special register body<br>\u25cf  pensions or labour relations body<\/p>\n\n\n\n<p><\/p>\n\n\n\n<p>2.\u00a0<strong>Are all types of small businesses eligible for the exemption?<\/strong><\/p>\n\n\n\n<p>Effective 06 April 2025, to qualify for the exception, your <a data-wpil-monitor-id=\"169\" href=\"https:\/\/www.experlu.co.uk\/blog\/5-things-to-consider-when-valuing-your-business\/\">business<\/a> must meet\u00a02\u00a0out of the\u00a03\u00a0requirements, applying either net or gross thresholds.<\/p>\n\n\n\n<figure class=\"wp-block-table is-style-stripes\"><table><tbody><tr><td><strong><span class=\"has-inline-color has-vivid-purple-color\">Requirement<\/span><\/strong><\/td><td><strong><span class=\"has-inline-color has-vivid-purple-color\">Threshold<\/span><\/strong><\/td><td><\/td><\/tr><tr><td>Turnover<\/td><td>\u2264 \u00a315 million<\/td><td><\/td><\/tr><tr><td>Balance Sheet Total&nbsp;(Total Assets)<\/td><td>\u2264 \u00a37.5 million<\/td><td><\/td><\/tr><tr><td>Number of Employees<\/td><td>\u2264 50 employees<\/td><td><\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p>The old thresholds are:<\/p>\n\n\n\n<figure class=\"wp-block-table is-style-stripes\"><table><tbody><tr><td><strong><span class=\"has-inline-color has-vivid-purple-color\">Requirement<\/span><\/strong><\/td><td><strong><span class=\"has-inline-color has-vivid-purple-color\">Threshold<\/span><\/strong><\/td><td><\/td><\/tr><tr><td>Turnover<\/td><td>\u2264 \u00a310.2 million<\/td><td><\/td><\/tr><tr><td>Balance Sheet Total&nbsp;(Total Assets)<\/td><td>\u2264 \u00a35.1 million<\/td><td><\/td><\/tr><tr><td>Number of Employees<\/td><td>\u2264 50 employees<\/td><td><\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p>Even if your company is exempt from an audit, shareholders holding 10%) or more shares, jointly or individually, can demand an audit.<\/p>\n\n\n\n<p><\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"Are_there_any\">Are there any benefits of having an audit?<\/h3>\n\n\n\n<p><\/p>\n\n\n\n<p>\u25cf <strong>Compliance<\/strong><br>Once your business meets specific criteria, it is legally required to have your business accounts audited.<\/p>\n\n\n\n<p><\/p>\n\n\n\n<p>\u25cf <strong>Improves control environment<\/strong><br>One part of audit procedures is to rely on the management&#8217;s internal control regarding finance functions. Investors can see the negative report with suspicion; however, it depends on the reason. A qualified opinion is usually accompanied by its reasons and details.<\/p>\n\n\n\n<p><\/p>\n\n\n\n<p>\u25cf <strong>Disclaimer of opinion<\/strong><br>This means the auditors are distancing themselves from providing any opinion at all. This is not the usual opinion and will undoubtedly raise eyebrows among financial statement users.<\/p>\n\n\n\n<p><\/p>\n\n\n\n<p>\u25cf <strong>Adverse opinion<\/strong><br>This is where auditors believe the financial statements are not free from material misstatements. Adverse opinions are rare as they put the business in a negative light and raise a big red flag regarding its financial affairs.<\/p>\n\n\n\n<p><\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"What_should_your\">What should your small business do with the audited accounts?<\/h3>\n\n\n\n<p>Audited accounts of your small business must be sent to Companies House annually.<\/p>\n\n\n\n<p>Companies House publishes audited accounts publically so that the stakeholders of your business, including other businesses with which your company trades, can decide whether they wish to do business with you or not.<\/p>\n\n\n\n<p><\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"Is_an_auditor\">Is an auditor only concerned with a small business&#8217;s annual accounts?<\/h3>\n\n\n\n<p>The short answer is yes!<\/p>\n\n\n\n<p>Though, you can hire an auditor for other purposes, such as for keeping your small business books or compiling your <a href=\"https:\/\/www.experlu.co.uk\/blog\/self-assessment-tax-return\/\"><mark style=\"background-color:rgba(0, 0, 0, 0)\" class=\"has-inline-color has-vivid-purple-color\">tax return<\/mark><\/a>, provided your <a href=\"https:\/\/www.experlu.co.uk\/blog\/tax-auditor-in-london\/\"><strong><mark style=\"background-color:rgba(0, 0, 0, 0)\" class=\"has-inline-color has-vivid-purple-color\">tax auditor<\/mark><\/strong> <\/a>does not take part in the management of the business.<\/p>\n\n\n\n<p><\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"Can_my_accountant\">Can my accountant be my auditor?<\/h3>\n\n\n\n<p>An auditor must not be part of the <a href=\"https:\/\/www.experlu.co.uk\/blog\/improve-expense-management-in-your-business\/\"><mark style=\"background-color:rgba(0, 0, 0, 0)\" class=\"has-inline-color has-vivid-purple-color\">management of your small business<\/mark><\/a>, and that&#8217;s why an individual cannot be appointed as an auditor if:<\/p>\n\n\n\n<p>\u25cf  They are&nbsp; an employee or officer of your business or an associated company<br>\u25cf  They are a partner in the business<\/p>\n\n\n\n<p>If the accountant does not fall into any of the categories mentioned above and if they have a current audit-practising certificate issued by a recognised supervisory body, then they may act as the company&#8217;s auditor.<\/p>\n\n\n\n<p>Are you a <a data-wpil-monitor-id=\"51\" href=\"https:\/\/www.experlu.co.uk\/blog\/accountant-can-help-a-small-business\/\">small business owner<\/a>?
