Quick rule

If the company had no significant accounting transaction in the financial year, dormant accounts may be appropriate.

  • A company can still be active with no sales at all if it paid expenses, received bank interest, bought equipment, paid a director, incurred professional fees, or moved money through its bank account
  • Two specific things are disregarded and won't break dormancy: payment for shares taken by subscribers on incorporation, and fees or penalties paid directly to the Companies House registrar
  • Everything else - even a £1 bank charge or refund - counts as a significant transaction and ends dormancy

What actually counts as dormant?+

The company must have had no significant accounting transactions in the financial year. No turnover alone is not enough if it paid costs, received interest or otherwise used its bank account.

Can a dormant company have a bank account?+

It can have an account, but transactions such as charges or interest may mean it is not dormant for accounts purposes.

Does this include a Corporation Tax return?+

No. Genuinely dormant companies do not normally need a routine CT600, but HMRC may still issue a notice that must be addressed separately.

What if you discover the company traded?+
